بخشنامهٔ اوراق VIP mezz گردان ۲۷ مه ۲۰۲۱ / ۱۲ آوریل ۲۰۲۲ را تسهیلات اعتباری Crayhill مینامد (۱۲٫۵۰٪؛ ۶۵٬۳۶۱٬۸۳۰ دلار باز تا ۳۰ ژوئن ۲۰۲۳). آن اصلاحیهٔ اول همان ضمیمهٔ وام روی این صفحه است.
جدول آن لایحه عواید ادعایی سوءاستفادهشده را ۵۶٬۱۵۷٬۲۸۱ دلار میگذارد. استفادههای ادعایی: Apex South Creek (KHCA در ۱۳ سپتامبر ۲۰۲۲ از تأمین مالی خودداری کرده بود)، زمین Dana Point، هتلهای Anaheim، کارمزد تملک به Versity، و خانهای در Capistrano. اینها ادعا هستند. دادخواست اصلی بدون مهر Doc 49 است (ثبت ۱۷ مه ۲۰۲۴؛ ضمیمهٔ E بستهٔ Delaware BCS2 در DocketAlarm، پشت دیوار پرداخت). اصلاحیهٔ بعدی که تالار بهعنوان Doc 137 علامت میزند (۱۳ سپتامبر ۲۰۲۴) از NYSCEF کشیده نشد.
Doc 49 میگوید KHCA هشت دارایی اصلی را تأمین کرد و روی چهار تا پس گرفت؛ چهار پرداختنشده همانهاییاند که هنوز روی این صفحهاند. Vintage IB, LLC — ذینفع اولیهای که KHCA تأمین کرد — در ۱ ژوئیه ۲۰۲۵ از Vintage در دلاور شکایت کرد (C.A. 2025-0757). آن دادخواست میگوید KHCA در ۳۰ ژوئن ۲۰۲۵ مدیریت Vintage IB را گرفت و هنوز دستکم ۱۴٪ سهمهای ذینفع را نگه میدارد. ادعا.

Same-day master lease (DST → Hayworth Tanglewood LeaseCo; 7 years 3 months) and Book & Ladder PMA at 2.5% of Monthly Gross Revenues; Tanya Muro signed both sides. Versity EquityCo II contributed $50,089,148.27 of bridge equity through Hayworth Tanglewood IB (PPM); the later IB complaint puts the total contribution at $58,959,026.60 including $8,869,878.33 of EquityCo money. Trust Agreement dated 29 Jun. Side letter the same day: excess revenue and disposition/financing/construction fees to the IB until Full Redemption; KHCA agents are third-party beneficiaries.

- 20 Oct–7 Dec 2023Brian Nelson sues Blake in Orange County (20 Oct, 30-2023-01356667). Dismissed without prejudice 7 Dec — the settlement (term sheet 3 Dec 2023, attached as Exhibit A to the 26 Nov 2025 JAMS award). Crew was to buy Nelson’s interests in Versity Investments, NBPRE, and Book & Ladder for $30 million. Closing deadline December 2024. ~18 properties eventually return to him; five stay with Crew.
