Emerson Equity · Form BD owner 75%+ · CRD 3082081
Dominic Julio Baldini
Founder, CEO, CCO, and sole disclosed 5%+ owner of Emerson Equity LLC. Form BD 75%+. CRD 3082081.
Founder of Emerson Equity (California LLC 10 Oct 2003). Form BD and the 8 Apr 2026 Form ADV Schedule A list him as managing member, president, CCO, general securities / options / municipal principal, and FINOP, ownership code E (75% or more). He is the only disclosed 5%+ owner. IA registration 5 Mar 2004; BD 12 Apr 2004. Brian Nelson is a registered VP/rep, not on Schedule A.
Ownership
The “other 25%” is not a named person. Form BD / ADV ownership is reported in buckets. Anyone at 5% or more has to be listed. The only other names on the current filings are officers Kathleen Frances Morrissey (COO, CRD 1771747, from Aug 2016) and Sean Kristian Snyder (CSO, CRD 1860842, from Apr 2017), both less than 5% / NA, neither a control person. Indirect owners: none reported. Baldini could own 76% or 100%; the filings do not say.
Born 1965. USF BA business/finance 1988; Golden Gate JD 1991. California Bar #163475, inactive; bar address Hillsborough. Firm site: founder, CEO and CCO. Series 4, 7, 14, 24, 27, 52, 53, 55, 57, 63, 65, 79, 99, SIE. Prior BDs: Golden Triangle Securities (1999–2001), Pacific Coast Securities (2001–2004), SharesPost Financial (2011–2016).
SharesPost
Registered at SharesPost Financial (CRD 134596) 16 Jun 2011–4 Jan 2016 while remaining Emerson managing member. He signed SharesPost’s Form X-17A-5 oaths (SEC file 8-66846). The 31 Dec 2014 statement of financial condition: SharesPost Financial was formerly Perlinski & Associates, bought 14 Jun 2011 for $55,000. In 2011 the parent had a Broker-Dealer Independent Affiliate agreement with Emerson; Emerson reps did private-placement work as Emerson independent contractors. Termination 22 Dec 2011, effective 1 Jan 2012. $3,118,671 of commissions payable moved onto SharesPost Financial. Those reps became SharesPost employees 1 Jan 2012. Related-party note: in 2014 SharesPost facilitated private-company trades in which the purchaser was represented by a broker-dealer affiliated with SharesPost’s CCO/FinOp. Baldini held those titles at SharesPost while remaining Emerson managing member / CCO / FINOP. The 17a-5 does not name the buyer’s BD. Sullivan and Strife came out of that shop; details on Oceanic.
Oceanic
Third-party ADV scrapers (Radient, Equilar) still show Oceanic Partners / Tim Sullivan / Jaclyn Strife as a 10–25% slice. That is not on the 8 Apr 2026 Schedule A or the current firm BrokerCheck PDF. Treat Oceanic as a related shop, not as a disclosed 5%+ owner of the BD. Timothy Evan Sullivan (CRD 4505978) and Jaclyn Strife Sullivan (CRD 5334639) are current Emerson reps at Oceanic’s Sausalito branch; Emerson’s brochure still calls Sullivan “President.” Baldini’s U4 other-business: Oceanic Partners, Inc., adviser on general corporate matters, ~2 hours/month since Apr 2017, marked not investment-related. Oceanic’s site lists him as an advisor. Dual-hat and the 2011 Emerson independent-affiliate contract are under SharesPost. Oceanic’s “Select Services” copy includes “real estate single-asset syndications.” Sullivan and Strife are not named on the DST arbitrations.

U4 other business, not the DST story: DJB Coastal LLC (estate planning, May 2022); Stick, Inc. and GFB Clothing (clothing, 2023–24). DJB Solar LLC (solar asset management, Dec 2025) is U4-coded investment-related, not securities-related.
