I.B.I. Volcano Investments LLC（Ziv Sapir，负责人）与 West 4 Capital LP（Yaron Eilot，CEO；开曼 ELP）在纽约起诉 [Crew](/zh/companies/crew/）（原 Versity Invest），Index 652237/2025。借款人是 Apex South Creek IB, LLC。三份有担保本票，日期 2022 年 11 月 18 日：

  • I.B.I. Volcano · $25,000,000
  • West 4 Capital · $6,000,000
  • Comrit Investments 1, LP · $11,000,000（2023 年 7 月 3 日转让给 Volcano）

票面 12%；违约利率 14%（票面加 2%）；逾期十日后滞纳金 5%。Volcano 票据发起费 2%（交割时 1.5% + 二十一日后 0.5%）；每三个月展期为剩余本金的 1%。票据质押 IB 在 Apex South Creek, DST 中的受益权益，不是奥兰多土地上的抵押。Volcano 票据述及交割时 IB 持有 100% DST 权益；同日 信托协议 同样记载。第一抵押权人是 Walker & Dunlop，约 $45,994,000，同为 2022 年 11 月 18 日。已售权益赎回款项的百分之九十须在五个工作日内付给贷款方，用于本金；当期利息另计。2024 年 4 月修订后该分割变为 Volcano 77% / West 4 13%。

Crew 是唯一具名担保人。这些附件是 LLC 付款担保，不是 Wettengel 或 Muro 的个人担保。原到期日 2023 年 5 月 18 日；两次三个月展期，然后第一次修订 2024 年 4 月 5 日（West 4）与 2024 年 4 月 10 日（Volcano / Comrit）把到期日延至 2024 年 5 月 18 日，另有未使用的展期至 2024 年 8 月 18 日。Wettengel 为 IB 签字；Muro 以 CRO 身份为 Versity Invest 签字。

Sapir 2025 年 4 月 7 日确认书称借款人自 2023 年 11 月后再无付息。BCLP 违约通知 2024 年 11 月 11 日（致 [Frank Muhlon](/zh/people/frank-muhlon/））要求 $44,611,907，并主张 IB 向自己分配了 $4 million 收购费。贷款方要求，不是认定。

2025 年 7 月 15 日 Justice Melissa A. Crane 部分缺席准许无反对的 CPLR 3213 动议（NYSCEF Doc 26）。Crew 既未出庭也未反对。截至 2025 年 3 月 31 日剩余本金：Volcano $23,690,525，Comrit $10,423,831，West 4 $3,370,568。Crane 指示判决 Volcano $42,953,402（Volcano + 受让的 Comrit）、West 4 $4,242,913，外加自 2025 年 4 月 1 日至命令日的 14%，此后法定利率。律师费无偏见驳回。案件标记已处置。

    Apex South Creek closed. Trust Agreement: IB 100% of interests; Sorensen Entity Services Delaware Trustee; Apex South Creek ST Signatory Trustee; Chris Sorensen Independent Trustee. Circular close $99,550,000 (PSA was $100 million plus a $400,000 credit). Walker & Dunlop first mortgage $45,994,000 at 5.48%. Master lease DST → Apex South Creek LeaseCo (10 years 3 months). Versity Invest asset manager at 1% of Gross Revenue. Book & Ladder property manager at 3% of Monthly Gross Revenues. Same day: Apex South Creek IB leftover-equity notes $25M IBI Volcano, $6M West 4, $11M Comrit (assigned to Volcano 3 Jul 2023). 12% coupon, 14% default. 90% of IB redemption proceeds to the lenders. Crew LLC guaranteed. Form D four days later ($73,580,386).

Vintage “fully syndicated”; circular says financing outside the first mortgage repaid — later Vintage IB complaint alleges leftover IB interests. Walk ~1% remaining, ~99% occupied. Hayworth 33.32% remaining, ~81% occupied. One on 4th 20.27% remaining, ~99% occupied. Apex 90.886% remaining, ~91% occupied; leftover-equity notes $40.8 million outstanding.   4. 11 Nov 2024
    BCLP default demand on the Apex IB notes and Crew guaranties: $44,611,907. Lender letter says the IB distributed $4 million in acquisition fees to itself. Demand, not a finding. Addressed to Frank Muhlon.
  5. 8 Apr 2025
    IBI Volcano and West 4 Capital move for summary judgment in lieu of complaint against Crew on the Apex IB guaranties (NY Index 652237/2025). Motion seeks $47,196,315 as of 31 Mar 2025.
  6. 15 Jul 2025
    Crane (NY Index 652237/2025) grants the unopposed CPLR 3213 motion in part on default. Crew neither appeared nor opposed. Judgment directed: $42,953,402 to IBI Volcano (including assigned Comrit) and $4,242,913 to West 4, plus 14% from 1 Apr 2025. Attorneys’ fees denied without prejudice.
